Terms & Conditions – eCommerce Website Subscription

Effective Date: July 26, 2025
Provider: Freelance UKHub ("we", "our", "us")
Service Users: Subscribers of the eCommerce website service (“you”, “your”, “customer”)

1. Overview

These Terms & Conditions govern the subscription-based eCommerce website service offered by Freelance UKHub at a rate of £299/month, with a minimum commitment of 12 months. By subscribing, you accept and agree to be bound by the terms outlined below.

2. Subscription Model

  • Subscription Fee: £299 (GBP) per calendar month.
  • Minimum Term: 12 months (non-cancellable during this period).
  • Billing: Monthly in advance via debit/credit card, direct debit, or approved payment method.
  • Auto-Renewal: Subscription automatically continues monthly after the initial 12-month period unless cancelled with 30 days’ notice.

3. Included Features

Under this base subscription, we provide a professionally built, fully functional eCommerce website with the following standard features:

Website Functionality

  • Mobile-responsive design
  • Shopping cart and checkout system
  • Basic inventory management
  • Payment gateway integration (Stripe, PayPal, or others supported by platform)
  • Order and customer management dashboard
  • Basic shipping and tax settings
  • Email notifications (order confirmations, status updates)
  • Customer account registration
  • Contact form
  • Admin dashboard access

Note: Custom features, branding, or advanced integrations (e.g., multi-vendor, ERP, loyalty programs, advanced filters) are not included and can be quoted separately.

4. Content and Images

  • We will include sample content and placeholder images solely for demonstration and completion purposes.
  • The client is responsible for uploading all actual product categories, content, and images to the live website after handover.

5. Basic Training for Client

An initial training session will be provided to guide the client in managing products, updating stock, handling orders, and performing basic administrative tasks through the website’s backend.

6. Third-Party Purchases

  • Any third-party tools, plugins, or services required to meet specific functional needs will be communicated in advance.
  • The client is responsible for the purchase and provision of access to such services, which may include but are not limited to:
    • Payment gateway services
    • SMS gateway services for notifications
    • Email delivery services (e.g., transactional email platforms)

7. Responsibilities

Developer Responsibilities:

  • Design, develop, and set up the website according to the agreed specifications
  • Integrate and configure any client-provided third-party services
  • Conduct thorough functionality testing prior to delivery
  • Provide initial training as mentioned above

Client Responsibilities:

  • Provide necessary website content, product data, and brand assets
  • Purchase and provide credentials for required third-party services
  • Actively respond to communication to avoid delays
  • Manage and maintain the website content post-handover

8. Project Timeline

  • Estimated Development Time: 35 working days (based on 8-hour workdays) from the date of project initiation.
  • The actual duration depends on timely client feedback, submission of content, and approval at key milestones.

9. Support and Maintenance

Your subscription includes ongoing support for as long as the subscription remains active.

Included Support Services (AMC-style):

  • Resolution of technical or functional issues
  • Plugin and platform updates
  • Security maintenance and performance optimization
  • Uptime monitoring and issue resolution

Not Included (Available separately):

  • Content updates
  • Major design changes
  • Development of new features or pages
  • SEO services, digital marketing, or third-party analytics setup

10. Data and Content

  • The client is solely responsible for the accuracy and legality of all content, product listings, and customer data.
  • Freelance UKHub does not claim ownership over your content and will treat your data in accordance with our privacy practices.

11. Ownership & Handover

While Subscribed: The website remains hosted and maintained by Freelance UKHub.

After 12-Month Period:

  • If you continue the subscription, support and service will continue seamlessly.
  • If you cancel after 12 months:
    • A website handover package (files and database export) will be provided.
    • Post-handover, Freelance UKHub is no longer responsible for any support, updates, or technical issues.
    • All further support will be available on a paid basis if required.

12. Cancellation Policy

  • Subscription cannot be cancelled within the first 12 months.
  • After the minimum term, 30 days' written notice is required for cancellation.
  • No partial refunds will be provided for the remaining days of a billing cycle.
  • If payment is overdue beyond 15 days, services may be paused or permanently terminated.

13. Refunds

  • No refunds are provided for processed subscription payments.
  • No refunds will be granted for early termination within the 12-month period.

14. Limitation of Liability

We are not liable for:

  • Business interruption, data loss, or revenue loss due to third-party services or external issues
  • Security breaches caused by client-side modifications or negligence
  • Downtime caused by external hosting, server failures, or force majeure events

Our total liability is limited to one month’s subscription fee.

15. Privacy and Data Protection

We comply with UK GDPR and the Data Protection Act 2018.

Any client or end-user data handled is treated in accordance with our privacy policy.

Clients are responsible for complying with applicable data privacy laws in their own business practices, particularly when collecting or handling customer data via the website.

16. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales. Any disputes arising shall be subject to the exclusive jurisdiction of UK courts.

17. Updates to Terms

Freelance UKHub reserves the right to update these Terms & Conditions. Any changes will be communicated via email or published on our website. Continued use of the service constitutes agreement to the revised terms.
